These Terms of Service ("Terms") govern your access to and use of the website, products, and services provided by GT AI and IT Consulting & Business Solutions LLC ("GT", "we", "us" or "our"). By accessing our website or engaging our services, you agree to these Terms.

/ 01 Acceptance of Terms

By accessing or using the GT website or services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), have the authority to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy.

/ 02 Services Provided

GT provides professional services in four core areas:

• Artificial Intelligence Solutions — custom AI development, intelligent automation, integration strategy.
• IT Services & Infrastructure — consulting, software development, cloud migration, cybersecurity.
• Business Consulting & Strategy — digital transformation, operational efficiency, B2B partnerships.
• Corporate Travel Management — corporate travel, MICE services, bespoke itineraries.

Specific deliverables, timelines, and pricing for each engagement are set out in a separate written Statement of Work (SOW) or service agreement.

/ 03 Use License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website for personal and business inquiry purposes. You may not:

• Modify, reverse-engineer, decompile, or attempt to extract source code from our materials.
• Use automated scraping, crawling, or harvesting tools without our written permission.
• Use the website or services for any unlawful, harmful, or fraudulent purpose.
• Resell, sublicense, or commercially exploit any content without authorization.

/ 04 User Responsibilities

You agree to:

• Provide accurate, current, and complete information when contacting us or using our services.
• Maintain the confidentiality of any account credentials, project portals, or shared resources.
• Promptly notify us of any unauthorized use of your account or any security breach.
• Comply with all applicable laws and regulations in your use of our services.

/ 05 Intellectual Property

All content on this website — including text, graphics, logos, code, designs, and trademarks — is the property of GT or its licensors and is protected by intellectual property laws.

For client engagements, IP ownership of custom deliverables (software, models, documentation) is governed by the applicable SOW. Unless otherwise agreed, GT retains ownership of pre-existing tools, methodologies, and reusable components ("Background IP").

/ 06 Payment Terms

Service fees, payment schedules, and applicable taxes are detailed in each SOW. Unless otherwise specified:

• Invoices are payable within 30 days of issue date.
• Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law.
• Disputed amounts must be raised in writing within 14 days of invoice receipt.
• All fees are exclusive of applicable taxes unless explicitly stated.

/ 07 Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. Confidentiality obligations survive termination of the engagement for a period of five (5) years, except for trade secrets which remain protected indefinitely.

/ 08 Disclaimers

While we strive for accuracy and reliability, GT does not guarantee that the website will be error-free, uninterrupted, or free from harmful components. Use of any service or recommendation is at your own discretion and risk.

/ 09 Limitation of Liability

To the maximum extent permitted by law, GT's total aggregate liability arising out of or in connection with these Terms or any engagement shall not exceed the fees paid by you to GT in the twelve (12) months preceding the event giving rise to liability.

GT shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill.

/ 10 Indemnification

You agree to indemnify, defend, and hold harmless GT, its affiliates, officers, employees, and contractors from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of services, or infringement of third-party rights.

/ 11 Termination

Either party may terminate an engagement in accordance with the applicable SOW. We may suspend or terminate website access at any time without notice if you violate these Terms. Upon termination, you must cease all use of GT materials and return or destroy confidential information as instructed.

/ 12 Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Illinois, United States of America, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

/ 13 Changes & Contact

We may update these Terms periodically. Material changes will be posted with a revised "Last Updated" date. Continued use of our services after changes constitutes acceptance.
